Cyngular Security THIRDhub Platform Terms and Conditions

These THIRDhub Platform Terms and Conditions (“Agreement”) govern your access and use, as a user or a representative of an entity that is a user (“User”) of the THIRDhub Platform, offered by Cyngular Security Ltd. and its affiliates (“Cyngular”).

By clicking the “I agree” button (or any similar button) and/or by attempting to use or by using the THIRDhub Platform, User agrees to be legally bound by this Agreement. If User does not agree to this Agreement, User must not use the THIRDhub Platform. If the individual accepting these terms is accepting on behalf of a legal entity, such individual represents that they have the authority to bind such entity and its affiliates to these terms and conditions.

The THIRDhub Platform may not be accessed for purposes of monitoring their availability, performance, or functionality, or for any other benchmarking or competitive purposes. Cyngular may amend this Agreement from time to time and each amendment will be in effect from the time it is first posted on the Cyngular Site.

1. Definitions

  • 1.1. Confidential Information: Non-public information disclosed between parties as specified in the Agreement.
  • 1.2. Content: Any data, text, audio, video, images, or other materials.
  • 1.3. Cyngular Site: https://www.www.cyngular.com.
  • 1.4. Documentation: Technical manuals and specifications for the THIRDhub Platform.
  • 1.5. Personal Data: Data that can identify an individual, as defined in the GDPR.
  • 1.6. THIRDhub Platform: The Cyngular IR readiness, threat hunting, investigation, and response platform.
  • 1.7. Suggestion: User feedback or ideas for improving the THIRDhub Platform.
  • 1.8. Third Party Content: Content made available by third parties on the THIRDhub Platform.
  • 1.9. User Content: Content uploaded, posted, or submitted by the User to the THIRDhub Platform.
  • 1.10. Cyngular Content: Content provided by Cyngular, including its security dashboard and related services.

2. THIRDhub Platform

2.1. Right to Access and Use

Cyngular grants User a limited, revocable, non-exclusive, non-sublicensable, and non-transferable right to access and use the THIRDhub Platform in compliance with the Agreement.

2.2. User Account

  • Users must create an account to access the THIRDhub Platform.
  • Users are responsible for activities under their account.
  • Cyngular may impose limits or restrict access for violations of this Agreement.

2.3. Support

Cyngular will provide technical support on a reasonable effort basis as outlined in the SLA.

2.4. Planned Downtime

Cyngular may schedule maintenance, with prior notice where commercially reasonable.

3. User Representations

Users represent and warrant their compliance with all terms, that their uploaded content does not infringe third-party rights, and that they will adhere to applicable laws, including GDPR.

4. Payment

4.1. Service Fees

Users must pay applicable fees as per Cyngular’s pricing terms. All fees are exclusive of applicable taxes.

4.2. Taxes

Users are responsible for providing necessary information regarding applicable taxes.

5. Term and Termination

The Agreement is effective for an initial one-year term and renews annually unless terminated as specified:

  • Termination for Cause: Either party may terminate for material breaches.
  • Immediate Termination: Cyngular may terminate for security risks or legal compliance.

6. Proprietary Rights

All intellectual property rights in the THIRDhub Platform remain with Cyngular. Users grant Cyngular a limited license to use logos and trademarks for marketing purposes.

7. Indemnification

Users agree to indemnify Cyngular against claims resulting from User Content or breach of this Agreement.

8. Disclaimer

The THIRDhub Platform is provided “as is.” Cyngular disclaims warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

Cyngular’s liability is limited to amounts received for the Platform during the preceding 12 months. Indirect or incidental damages are excluded.

10. Miscellaneous

  • 10.1. This Agreement constitutes the entire agreement between the parties.
  • 10.2. Confidentiality obligations extend five years beyond the term.
  • 10.3. The parties are independent contractors.
  • 10.4. Notices may be sent via email, mail, or hand delivery.
  • 10.5. Assignment of rights requires prior written consent.
  • 10.6. This Agreement is governed by the laws of the State of Israel.
